Earnings Call Speaker Segments
Greetings. Welcome to Azio AI Holdings, Incorporated 2026 Annual Meeting of Stockholders. [Operator Instructions] Please note, this conference is being recorded. I will now turn the conference over to your host, Chris Young, Chief Executive Officer and Chairman of the Board of Directors. Chris, please go ahead.
Hello, and welcome to the 2026 Annual Meeting of Stockholders of Azio AI Holdings. My name is Chris Young, and I am the company's Chief Executive Officer and Chairman of the Board of Directors and will act as Chairman of this Annual Meeting of Stockholders. It is approximately 9:00 a.m. Pacific Time and in accordance with the notice of meeting, on behalf of the Board of Directors, I call this annual meeting to order. I will now introduce the other directors and officers of the company who are in attendance with us at this meeting. Three of our directors, Ms. Terri White Elk, Mr. Larry G. Paige II; and Mr. Michael A. Di Pietro; Mr. Jason Maddox, a Director and our Chief Financial Officer, were not able to join the meeting today. Also attending today via live webcast is our Chief Operating Officer, Elgin Tracy; and our Chief Communications Officer, Merrick Alpert, who will also serve as the Secretary for the meeting. At this time, I'd like to introduce Emily White of Equiniti Trust Company, LLC, who has been appointed as the Inspector of Elections at this meeting and any adjournment thereof. She has taken and subscribed to the customary oath of office to execute the duties of Inspector of Elections with strict impartiality. We will file this oath with the records of the meeting. The function of the Inspector of Elections is to decide upon the qualifications of the voters, accept their votes and when balloting on all matters is completed, to tally the final votes. If you have not yet obtained copies of the agenda or the rules of procedure for this annual meeting, we direct you to find such materials on the meeting website. To conduct an orderly meeting, we ask that all participants read and abide by these rules of procedure for this meeting. The Board of Directors set September 10, 2026, as the record date for this Annual Meeting of Stockholders. Will Mr. Alpert, the Secretary for the meeting, please report at this time with respect to the mailing of the notice of the annual meeting and the shares represented at the meeting.
I present the affidavit of mailing of Equiniti Trust Company, LLC, which states that the notice of this meeting and accompanying proxy materials were made available online and mailed on or about October 9, 2026, to the stockholders of record as of the record date. As of the close of business on the record date, the company had outstanding and entitled to vote 17,207,848 shares of common stock, each of which is entitled to 1 vote. We have been informed by the Inspector of Elections that a preliminary count of the shares of common stock represented at the meeting virtually or by proxy shows that the holders of less than 1/3 of the outstanding shares of common stock entitled to vote at the meeting are represented.
Because holders of less than 1/3 of the outstanding shares entitled to vote at this meeting are present virtually or by proxy, I am unable to declare a quorum present. I will now adjourn the meeting until November 13, 2026, at 9:00 a.m. Pacific Time. The annual meeting will be reconvened via the Internet as a completely virtual meeting. Please note, if you have already voted via proxy, your vote will still be counted, and there is nothing else you will need to do. However, if you decide to change your vote, you will have the opportunity to rescind your original proxy and recast your vote prior to the reconvened meeting. Voting remains open by telephone, the Internet, or mail prior to the reconvened meeting and will close after 8:59 p.m. Pacific Time on November 12, 2026. The proxy statement and our annual report for the fiscal year ended December 31, 2025, are available on the SEC's website. Pursuant to Section 222 of the Delaware General Corporation Law and Section 1.7 of the company's bylaws, I hereby adjourn this Annual Meeting of Stockholders. Thank you, everyone, for your time today, and we look forward to speaking with you once again at the reconvened meeting on November 13, 2026.
Ladies and gentlemen, this concludes today's conference. You may now disconnect at this time. Thank you for your participation.
