Welcome to the 2020 Annual Meeting for Predictive Oncology, Inc. Our host for today's call is Dr. Carl Schwartz, Chief Executive Officer. [Operator Instructions] I will now turn the call over to your host, Dr. Schwartz. You may begin, sir.

Good afternoon, and again, welcome to Predictive Oncology Annual Meeting of Stockholders and the company's first virtual meeting, which is interesting which allows us to be more inclusive and reach greater number of our shareholders. I am Dr. Carl Schwartz, as said, Chief Executive Officer of Predictive Oncology and a member of the Board of Directors. I am the Chairman of this meeting. It is my pleasure to welcome you. It is our custom we will conduct the business portion of the meeting first and answer questions at the end of the meeting. Although we may not be able to answer every question, we will do our best to provide a response to as many as possible and will address any unanswered questions on our corporate website shortly after the meeting. This meeting was called to be held at 3:00 p.m. Central Time today, September 3. It being 3:00 p.m. now, I will call this meeting to order. Please refer to the agenda on the screen, should you wish to follow along with the meeting's progression. Also in attendance are Bob Myers, Chief Financial Officer; and from Maslon, the company's Corporate Counsel, Marty Rosenbaum and Bradley Yenter; and from Baker Tilly, Steven Stensrud and from the [ Criteo Group, Tony Criteo ]. Notice and quorum. First, we will take care of the formal business of the meeting. Second, we will have an opportunity for questions. Only validated stockholders may ask questions in the designated field on the web portal. [Operator Instructions]. Please note that this meeting is being recorded. However, no one attending via the webcast or telephone is permitted to use any audio recording device. July 23, 2020, served as the record date for this meeting. Proper notice was sent on or about July 29, 2020, to all stockholders of that record date. Stockholders list shows that as of the record date, there were 14,503,614 shares of common stock outstanding and entitled to vote at this meeting. I've been informed that a majority of the shares entitled to vote at this meeting are either represented in person or by proxy and accordingly, a quorum is present. The proposals to be voted on at this annual meeting were described in detail in the proxy statement and are listed on the agenda. Proposal 1 is for the election of 3 Class II director nominees Mel Engle, Greg St. Clair and Nancy Chung-Welch to hold office until their term is ended or until their successors are duly elected and qualified. Proposal 2 is the reincorporation of the company in Nevada. Proposal 3 is the repricing of outstanding stock options issued under the company's amended and restated 2012 stock incentive plan and held by current officers or employees of the company which have an exercise price higher than $1.54 per share. Proposal 4 is an amended and restated 2012 stock incentive plan, including an increase in the reserve of shares of common stock authorized for issuance thereunder by 750,000 to 1,750,000. Proposal 5 is to ratify the appointment of Baker Tilly as the company's independent registered public accounting firm for the fiscal year 2020. And Proposal 6 is the proposal to adjourn the annual meeting if necessary to solicit additional proxies for approval of the reincorporation, the option repricing and/or the amended and restated plan. If any stockholder would like to make a comment regarding any of the proposals, please submit your comment through Ask-The-Questions button on the web portal. The polls are now open. Any stockholder who hasn't yet voted or wishes to change their vote, may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or have voted via telephone or Internet and do not want to change their vote, you do not need to take any further action. [Voting]

Very good. Thank you. There being no other formal business to be brought before the meeting, the formal portion of this meeting is now concluded and adjourned. We will report the results of the voting following the question-and-answer session. And okay -- results of the voting are based on the submission of proxies prior to and at this meeting. The 3 Class II director nominees, Mel Engle, Greg St. Clair and Nancy Chung-Welch have been elected by the requisite stockholder vote as they received the plurality of the votes. The reincorporation of the company in Nevada was not approved. Stock option repricing has been approved. The amended stock plan, including an increase in the planned reserve, has been approved. The appointment of Baker Tilly for fiscal year 2020 has been ratified and the proposal to adjourn the annual meeting, if necessary, has been approved. Ballots and proxies for this annual meeting will be filed with the company's books and records. A certificate of the inspector of elections will be attached to the minutes of this meeting. With the agenda for this annual meeting now complete, I'll conclude the 2020 Annual Meeting of the Stockholders of Predictive Oncology. And thank you for your attendance.
